- This Agreement describes the terms under which you (the “User” or “Member”) may access and use our website at YouBestow.com (the “Site”) and the Services associated with the Site. By accessing or using the Service or the Site, you signify that you have read, understand and agree to be bound by this User Agreement (collectively the “Terms of Service,” or “Agreement”) and our Privacy Policy, whether or not you are a registered Member of YouBestow.
- Violations of the Terms may result in a warning notification or may result in termination of your account.
- Nothing in this Agreement shall be deemed to confer any third-party rights or benefits.
- We reserve the right, at our sole discretion, to change, modify, add, or delete portions of this Agreement at any time without prior notice. If we do this, we will post the changes to this Agreement on this page and will indicate at the top of this page the date these terms were last revised. Your continued use of the Site and its Services after any such changes constitutes your acceptance of the new User Agreement. If you do not agree to abide by this or any future User Agreement, do not use or access (or continue to use or access) the Site and its Services. Ability to Accept Terms
You affirm that you are over 18 years of age and are fully able and competent to enter into the terms, conditions, obligations, affirmations, representations, and warranties set forth in this Agreement, and to abide by and comply with the terms hereof. If you use YouBestow on behalf of a company, entity, or organization, you must be an authorized representative with the authority to bind it to these Terms.
Membership Eligibility
YouBestow is not available to minors under the age of 18, non-residents of the United States, or to any persons suspended or removed from the system by us for any reason. Members may not have more than one active account. Additionally, Members are prohibited from selling, trading, or otherwise transferring their YouBestow account to another party. If you do not qualify, you may not use the Site. Any registration by, use of or access to the Site by anyone under 18 is unauthorized, unlicensed and in violation of this User Agreement. If we learn that we have collected information from a person under the age of 18, we will delete that information as quickly as possible. Membership in the Site is void where prohibited.
Personal Use
We grant you permission to access and use the Site. You may not alter or modify in any way any portion of the Site, except with our express written consent. By using the Site, you warrant that you will not use the Site, or any of the Content (defined below) obtained from the Site, for any purpose that is unlawful or prohibited by this Agreement. If you violate any of the terms of this Agreement, your permission to use the Site automatically terminates.
Registration and Profile Data
As part of the registration process on the Site, you agree to register with your full name and provide accurate, current and complete information about yourself. You agree to maintain your profile and keep it up to date, and keep any other information you provide to us accurate and current. You agree not to impersonate any other person, including any other YouBestow Member, system administrator or any YouBestow staff members. You agree not to register for more than one Member account or register for a Member account on behalf of an individual other than yourself. If, after investigation, we have reasonable grounds to suspect that any Member's information is untrue or inaccurate, we may suspend or terminate that Member's account and prohibit any and all current or future use of the Site and Services by that Member.
Confidentiality and Your Account
You are responsible for maintaining the confidentiality of your password, and are fully responsible for all activities that occur under your password with or without your knowledge or permission. If you knowingly provide your login and password information to another person, your account privileges may be suspended temporarily or terminated. You agree to immediately notify us of any unauthorized use of your password or account or any other breach of security. We cannot and will not be liable for any loss or damage arising from your failure to comply with this section.
Making Referrals
- In order to refer a product or service to another Member, YouBestow will require you to provide your service verification code, which may be your assigned account number. Without proper verification, you may not refer or provide feedback for a product or service. In addition, YouBestow only allows you to refer a product or service within the network of your friends. Before you can refer a product or service to someone, he/she must be a Member of YouBestow and have been added in your friends list.
- YouBestow is always looking for ways to stop spamming. You should not refer a product or service if someone does not want to accept your referral, or has indicated no interest in accepting referrals.
- You must read terms from the Member Company (as defined below) for the product or service before referring a product or service. These terms may change at any time as per the Member Company’s guidelines. Updated terms are located under the product description. YouBestow makes no guarantee that a particular referral program will be available at the time a Member accepts the referral or that a Member’s subscription will be accepted by the Member Company and YouBestow shall not be responsible for any loss of benefits attributed to such lack of referral program or refusal of subscription.
- YouBestow is not responsible for the opinions, referrals or feedback provided by reviewing Members regarding products and services. You must use your discretion to trust or not to trust the opinions, referrals or feedback provided by reviewing Members.
- YouBestow does not guarantee the quality or terms of the product or service from a Member Company. You should contact the Member Company in case of any problem related to your product or service.
- YouBestow is not involved with post-transaction support. You should contact the relevant Member Company for support on your product or service.

YouBestow makes no guarantee that a particular referral program will be available at the time a Member accepts the referral or that a Member’s subscription will be accepted by the Member Company, and YouBestow shall not be responsible for any loss of benefits attributed to such lack of referral program or refusal of subscription.
- Rewards are granted by the participating Member Company, whose products and/or services you are referring. YouBestow does not guarantee accrual of any reward. Granting accrual is solely the responsibility of the Member Company. All benefits are payable directly by the Member Company and are subject to all of the terms and conditions of such Member Company’s referral program.
- You must read terms from the Member Company for the product or service before referring a product or service. These terms may change anytime as per the Member Company’s guidelines. Updated terms are located under the product description. YouBestow makes no guarantee that a particular referral program will be available at the time a Member accepts the referral or that a Member’s subscription will be accepted by the Member Company, and YouBestow shall not be responsible for any loss of benefits (including referral rewards) attributed to such lack of referral program or refusal of subscription.
- You may use this Site to learn about your referral awards. You are authorized to view the information available from the Site and to print out pages from this Site for your own informational purposes only. You may not access the Site to obtain information regarding anyone’s account but your own. As a condition of your use of this Site, you warrant to YouBestow that you will not use the Site or the information for any purpose that is unlawful or prohibited by these Terms.
- Total Rewards are based on promotional dollar value for a referral as defined by the Member Company; it is the equivalent dollar value for your rewards, and cost to the Member Company on each referral. Total Rewards shown in your account are based on your participation in a referral transaction. If you do not satisfy the Member Company’s terms, then rewards could be reclaimed.
- The amounts shown in a Member’s account are based solely on information then made available to us from the Member and the relevant Member Company and are subject to change. If you determine that the information shown on the Site with regard to your account is incorrect or inaccurate, you should contact us using the Contact Us link. No warranty or representation is made that the information on this Site is complete, accurate, up-to-date or error-free or that known defects will be corrected. In case of any discrepancy between the information provided by the relevant Member Company and the information shown on this Site, the information provided by the Member Company will control.
- You agree that we may, with or without cause, immediately terminate your account and access to the Site and Service without prior notice.
- Without limiting the foregoing, any of the following will lead to the termination of a Unser’s use of the Site and Service: (a) breaches or violations of this User Agreement or other incorporated agreements or guidelines, (b) requests by law enforcement or other government agencies, (c) a request by the Member to delete his or her account, (d) unexpected technical issues or problems, and (e) extended periods of inactivity.
- Termination includes removal of access to all offerings within the Site and Service and may also bar you from further use of the Service. Furthermore, you agree that all terminations shall be made in our sole discretion and that we shall not be liable either to you or any third-party for any termination of your account or access to the Site or Service.
You understand that except for referral programs offered by us, the Service and the Site are available for your personal, non-commercial use only. You represent, warrant and agree that no materials of any kind posted, transmitted, or shared by you on or through the Service and the Site will violate or infringe upon the rights of any third party, including copyright, trademark, privacy, publicity or other personal or proprietary rights; or contain libelous, defamatory or otherwise unlawful material.
In addition, you agree not to use the Service or the Site to:

- Post, email, transmit or otherwise make available any unsolicited or unauthorized advertising, promotional materials, “junk mail,” “spam,” “chain letters,” “pyramid schemes,” or any other form of solicitation.
- Post, email, transmit or otherwise make available any material that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment.
- Post, transmit, share, or otherwise make available Content that would constitute, encourage or provide instructions for a criminal offense, violate the rights of any party, or that would otherwise create liability or violate any local, state, national or international law;
- Use the Service or the Site in any unlawful manner or in any other manner that could damage, modify, disable, overburden or impair the Site, reverse-engineer the Site, or disobey any requirements, procedures, policies or regulations of networks connected to the Service.
- Circumvent, disable or otherwise interfere with security-related features of the Site or features that prevent or restrict use or copying of any Content or enforce limitations on use of the Site or the Content therein.
In addition, there is zero tolerance for predatory behavior, stalking, threats, harassment, invading privacy, or the revealing of other members' personal information. Anyone caught doing these things may be permanently banned from the Site.
Your Content
- You acknowledge that you are solely responsible for all Content that you post on or through the Service or the Site, or transmit to or share with other Members. You have full responsibility for your Content, including its legality, reliability, appropriateness, originality and copyright and the consequences of posting or publishing it. “Content” means, but is not limited to, any text, links, communications, opinions, comments, and any other information any Member provides on the Site , including, but not limited to contributions to message boards, chats, discussion forums, blogs, wiki pages, or otherwise.
- You may not post, transmit, or share Content on the Site or Service that you did not create or that you do not have permission to post. By adding Content to any part of the Site, you automatically grant, and you represent and warrant that you have the right to grant to YouBestow an irrevocable, perpetual, non-exclusive, transferable, fully paid, worldwide license (with the right to sublicense) to use, copy, publicly perform, publicly display, reformat, translate, excerpt (in whole or in part) and distribute such Content for any purpose on or in connection with the Site or the promotion thereof, to prepare derivative works of, or incorporate into other works, such Content, and to grant and authorize sublicenses of the foregoing. You also hereby grant each Member of the Site who is also your “friend” a non-exclusive license to access your Content through the Site, and to use, reproduce, distribute, display and perform such Content as permitted through the functionality of the Site and under the terms of this User Agreement.
- We reserve the right to review any Content and to delete or remove (without notice) any Content in our sole discretion, for any reason or no reason, including without limitation Content that in our sole judgment violates this User Agreement or which might be offensive, illegal, or that might violate the rights of, harm, or threaten the safety of Members or others.
- We do not endorse or guarantee the accuracy of any Content on the Site. You agree that we are not responsible for any Content on the Site and will not be liable for any damages incurred as a result of the submission or use of any such Member Content, Third Party Content (defined below) or other content.
- Content on the Site is provided to you AS IS for your information and personal use only and may not be downloaded, copied, reproduced, distributed, transmitted, broadcast, displayed, sold, licensed, or otherwise exploited for any other purposes whatsoever without the prior written consent of the respective owners.
- Content on the Site, except all Member Content, is owned by or licensed to us, subject to copyright and other intellectual property rights under the law. Member Content and Third Party Content available on the Site are, in each case, the copyrighted work of the respective party or third party user of the Site. You acknowledge that you are responsible for the Content you submit to the Site and that you will have full responsibility for your Content, including its legality, reliability, appropriateness, originality and copyright.
- Member you may be made aware of services, products, articles, offers and promotions (“Member Company Services”), provided by third party merchants (“Member Companies”) and not by us. If you decide to use Member Company Services, you are responsible for reviewing and understanding the terms and conditions governing any Member Company Services. You agree that, as between us and the Member Company, the Member Company is solely responsible for the performance of the Member Company Services.
- Site may contain or reference links to third party websites, which are provided as a convenience only. The inclusion of any link is not and does not necessarily imply a sponsorship, endorsement, approval, investigation, verification or monitoring by us of any information contained in any third party website. In no event will we be responsible for the information contained in such third party website or for your use of or inability to use such website. Access to any other website is at your own risk, and you should be aware that linked websites may contain terms and privacy policies that are different from those of the YouBestow. We are not responsible for such provisions and expressly disclaims any liability for them.

Such Third Party Content shall be subject to the license set forth above unless such Third Party Content indicates that it is subject to other terms, in which case such other terms shall apply.
- The YouBestow Site is hosted in the United States. If you are using the Site from outside the United States, by providing your information to this Site, you are consenting to the transfer of your information to the United States for processing and maintaining in accordance with this User Agreement and our Privacy Policy. You are also consenting to the application of United States law in all matters concerning this Site.
- You agree to comply with all applicable local rules including but not limited to rules regarding online conduct and acceptable content. Specifically, you agree to comply with all applicable laws regarding the transmission of technical data exported from the United States or the country in which you are located.
You understand that all information publicly posted or privately transmitted through the Service is the sole responsibility of the person from whom such Content originated and that we will not be liable for the Content itself or any errors or omissions in any Content. You understand that we cannot guarantee the identity of any other Members with whom you may interact in the course of using the Service. Additionally, we cannot guarantee the authenticity of any data that Members may provide about themselves or the products or services on which they may opine.
YouBestow Communications

Specifically, automatic alerts may be sent to you on your registered email address, following certain changes made online to your YouBestow account. These changes may include changes in your registration information or any other account-related change. You agree to receive emails that are specific to your account and necessary for the normal functioning of the Site and Service, including welcome emails which help inform new Members about various features of the Service. You also agree to have your name and/or email address listed in the header of certain communications that you initiate through the Service.

Indemnification
- By accepting this User Agreement, you agree to defend, indemnify and otherwise hold harmless YouBestow Inc., its officers, directors, employees, agents, affiliates and other partners from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees as they accrue) resulting from (i) your use of and access to the Site and Service; (ii) your violation of any term of this User Agreement; (iii) your violation of any third party right, including without limitation any copyright, property, or privacy right; or (iv) any claim that your Content caused damage to a third party. Any interaction and communication that may arise between users from their use of the Site and Service are the sole responsibility of the users involved. This defense and indemnification obligation will survive this User Agreement and your use of the Site.

- ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM US OR THROUGH OR FROM THE SITE AND SERVICE SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THIS AGREEMENT.
- WE DO NOT WARRANT, ENDORSE, GUARANTEE, OR ASSUME RESPONSIBILITY FOR ANY PRODUCT OR SERVICE ADVERTISED OR OFFERED BY A THIRD PARTY THROUGH THE SITE OR ANY HYPERLINKED WEBSITE OR REFERRED TO YOU BY A MEMBER, AND WE WILL NOT BE A PARTY TO OR IN ANY WAY BE RESPONSIBLE FOR MONITORING ANY TRANSACTION BETWEEN YOU AND THE MEMBER COMPANIES. AS WITH THE PURCHASE OF A PRODUCT OR SERVICE THROUGH ANY MEDIUM OR IN ANY ENVIRONMENT, YOU SHOULD USE YOUR BEST JUDGMENT AND EXERCISE CAUTION WHERE APPROPRIATE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES. ACCORDINGLY, SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
The User Agreement, together with the Privacy Policy and any other legal notices published by us on the Site, constitute the entire agreement between you and us and governs your use of the Site and Service, superseding any prior agreements between you and us. If any provision of this User Agreement is deemed invalid by a court of competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of this User Agreement, which shall remain in full force and effect. No waiver of any term of this User Agreement shall be deemed a further or continuing waiver of such term or any other term, and our failure to assert any right or provision under this User Agreement shall not constitute a waiver of such right or provision.

- YOU EXPRESSLY UNDERSTAND AND AGREE THAT IN NO EVENT SHALL YOUBESTOW INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS, BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, CONSEQUENTIAL OR EXEMPLARY DAMAGES WHATSOEVER RESULTING FROM ANY (I) ERRORS, MISTAKES, OR INACCURACIES OF CONTENT (INCLUDING, BUT NOT LIMITED TO, MEMBER REFERRALS), (II) PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM YOUR ACCESS TO AND USE OF OUR WEBSITE, (III) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SECURE SERVERS AND/OR ANY AND ALL PERSONAL INFORMATION AND/OR FINANCIAL INFORMATION STORED THEREIN, (IV) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM OUR WEBSITE, (IV) ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE, WHICH MAY BE TRANSMITTED TO OR THROUGH OUR WEBSITE BY ANY THIRD PARTY, AND/OR (V) ANY ERRORS OR OMISSIONS IN ANY CONTENT OR FOR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF YOUR USE OF ANY CONTENT POSTED, EMAILED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE VIA THE SITE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT WE ARE ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
- YOU SPECIFICALLY ACKNOWLEDGE THAT WE SHALL NOT BE LIABLE FOR MEMBER CONTENT OR THE DEFAMATORY, OFFENSIVE, OR ILLEGAL CONDUCT OF ANY THIRD PARTY AND THAT THE RISK OF HARM OR DAMAGE FROM THE FOREGOING RESTS ENTIRELY WITH YOU.
- THE FOREGOING LIMITATION OF LIABILITY SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW IN THE APPLICABLE JURISDICTION.
